1. Agreement to Terms

By accessing and using the services of Kalynovsky ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Kalynovsky provides freelance web design and development services, including but not limited to:

  • Custom website design and development
  • Responsive web design
  • User experience (UX) and user interface (UI) design
  • Website maintenance and updates
  • Search engine optimization (SEO) services
  • Website consultation and planning

3. Project Terms

3.1 Project Scope

Each project will be defined in a separate agreement or proposal that outlines:

  • Project deliverables and specifications
  • Timeline and milestones
  • Pricing and payment terms
  • Revision limits and additional work policies

3.2 Client Responsibilities

Clients are responsible for:

  • Providing timely feedback and approvals
  • Supplying necessary content, images, and materials
  • Making timely payments as agreed
  • Providing access to necessary accounts and systems

4. Payment Terms

4.1 Pricing

All pricing is provided in project proposals and is valid for 30 days from the proposal date. Prices are subject to change without notice for new projects.

4.2 Payment Schedule

Payment terms will be specified in each project agreement. Typical payment schedules include:

  • 50% deposit to begin work
  • 50% balance upon project completion
  • Alternative payment schedules as mutually agreed

4.3 Late Payments

Late payments may incur additional fees. Projects may be suspended for non-payment after 15 days past due.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients own the final deliverables, including:

  • Custom website designs and code
  • Original graphics and content created specifically for the project
  • Project documentation

5.2 Designer Rights

Kalynovsky retains the right to:

  • Use project work in portfolio and marketing materials
  • Retain copies of work for backup and reference purposes
  • Use general design techniques and methodologies

6. Revisions and Changes

Each project includes a specified number of revision rounds. Additional revisions beyond the agreed limit may incur additional charges. Major scope changes may require a new project agreement.

7. Project Timeline

Project timelines are estimates based on current workload and client responsiveness. Delays in client feedback or material provision may extend project timelines.

8. Cancellation and Refunds

8.1 Client Cancellation

Clients may cancel projects with written notice. Refunds will be calculated based on work completed and expenses incurred.

8.2 Designer Cancellation

We reserve the right to cancel projects for non-payment, unprofessional behavior, or scope creep beyond reasonable limits.

9. Warranties and Disclaimers

We provide services with reasonable care and skill. However, we make no warranties regarding:

  • Uninterrupted website operation
  • Compatibility with all browsers and devices
  • Third-party service integrations
  • Search engine ranking results

10. Limitation of Liability

Our liability is limited to the total amount paid for the specific project. We are not liable for indirect, incidental, or consequential damages.

11. Confidentiality

We maintain strict confidentiality regarding client information, business strategies, and project details. We will not disclose confidential information to third parties without written consent.

12. Third-Party Services

Projects may involve third-party services (hosting, domains, plugins, etc.). We are not responsible for the availability, performance, or terms of third-party services.

13. Maintenance and Support

Post-launch maintenance and support are not included unless specifically agreed upon. Ongoing maintenance services may be available under separate agreement.

14. Force Majeure

We are not liable for delays or failures due to circumstances beyond our control, including but not limited to natural disasters, government actions, or internet outages.

15. Governing Law

These Terms are governed by the laws of California, United States. Any disputes will be resolved in the courts of California.

16. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
